| Abstract: | Corporate governance can be defined as an articulated system of rules, structures and processes aimed to assure the management, the control and the accountability of firms.
During the last few years the improvement of governance systems has become a priority objective due to the conviction that these systems can contribute to increase performance which is firstly based on the effective functioning of boards of directors (BoDs).
Main studies on the BoDs recognize the necessity to represent the interests of stakeholders, emphasizing the possibility to reduce agency costs. A complementary perspective considers the acquisition and the control of the critical resources closely related to the activation of relations with the more influential actors of the network. In this view, financial intermediaries have the greater institutional power due to their larger control of capital flows.
